4. Use of Services

4.1 License Grant

Subject to these Terms, OSEM Dynamics grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

4.2 Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any harmful, malicious, or destructive code, viruses, or malware
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to our systems or networks
  • Use our Services to develop competing products or services
  • Reverse engineer, decompile, or disassemble any aspect of our Services
  • Remove, alter, or obscure any proprietary notices on our Services
  • Use automated systems to access our Services without prior written consent

5. Custom Development Projects

5.1 Project Scope

Custom development projects will be governed by separate project agreements or statements of work that outline specific deliverables, timelines, and payment terms.

5.2 Ownership

Upon full payment of agreed fees, clients receive ownership of custom-developed applications as specified in the project agreement. OSEM Dynamics retains ownership of underlying technologies, frameworks, and any pre-existing intellectual property.

5.3 Changes and Modifications

Any changes to the project scope must be agreed upon in writing and may result in adjustments to timeline and fees.

6. Payment and Fees

6.1 Pricing

Fees for our Services will be specified in project agreements or subscription plans. All fees are in U.S. dollars unless otherwise specified.

6.2 Payment Terms

Payment terms will be outlined in project-specific agreements. Generally, custom projects may require milestone-based payments or upfront deposits.

6.3 Late Payments

Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6.4 Refunds

Refund policies are project-specific and will be outlined in individual agreements. Generally, payments for completed work or services rendered are non-refundable.

7. Intellectual Property Rights

7.1 OSEM Dynamics IP

All intellectual property rights in our Services, including software, technologies, methodologies, designs, and documentation (excluding custom-developed client applications as specified in project agreements), are owned by OSEM Dynamics or our licensors.

7.2 Client Data and Content

You retain all rights to your data, content, and materials provided to us. By using our Services, you grant us a limited license to use your data solely to provide and improve our Services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide to us regarding our Services may be used by OSEM Dynamics without any obligation to compensate you.

8. Data Privacy and Security

We take data security seriously and implement industry-standard security measures to protect your information. Our infrastructure utilizes secure cloud services provided by Amazon Web Services (AWS) and Google Cloud Platform (GCP).

8.3 Data Processing

You acknowledge that your data may be processed and stored on servers located in various jurisdictions, including the United States, in accordance with applicable data protection laws.

9. Third-Party Services

Our Services may integrate with or rely upon third-party services, including AWS and GCP infrastructure. We are not responsible for the availability, security, or performance of third-party services. Your use of third-party services may be subject to separate terms and conditions.

10. Service Availability and Maintenance

10.1 Uptime

While we strive to provide reliable Services, we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

10.2 Maintenance

We may perform scheduled or emergency maintenance that may temporarily affect service availability. We will attempt to provide advance notice when practical.

11. Warranties and Disclaimers

DISCLAIMER OF WARRANTIES: OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

OSEM DYNAMICS DOES NOT WARRANT THAT:

  • The Services will meet your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OSEM DYNAMICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) our Services
  • Any conduct or content of any third party on the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any matter relating to the Services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO OSEM DYNAMICS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless OSEM Dynamics and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any harmful content you submit, post, or transmit through our Services

14. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of these Terms.

15. Term and Termination

15.1 Term

These Terms remain in effect while you use our Services.

15.2 Termination by You

You may terminate your use of our Services at any time by closing your account and ceasing to use the Services.

15.3 Termination by OSEM Dynamics

We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

15.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a notice on our website. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and OSEM Dynamics regarding the Services.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

19.5 Force Majeure

OSEM Dynamics shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.
